aiADR Website Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the website located at www.aiADR.com (the “Website”) operated by aiADR (“aiADR,” “we,” “us,” or “our”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Website.

1. About aiADR and the Services

aiADR is an AI-assisted dispute resolution offering of ADR Chambers. Through the Website and related channels, aiADR makes available information about, and access points to, its services, which currently include: (a) AI-assisted arbitration between parties to a dispute, with human oversight (the “Party Dispute Resolution Service”); (b) AI-assisted dispute resolution services provided to organizations that handle high volumes of disputes (the “Enterprise Service”); and (c) a service that prepares, for a mediator, fully reasoned draft awards drawn up in favour of each party for use in facilitating settlement (the “Settlement Award Service”). The Website itself is an information and access resource. Your use of any of the Services is governed by the separate agreement, rules, or engagement terms applicable to that Service, and not by these Terms. In the event of a conflict between these Terms and the agreement governing a particular Service, that Service agreement prevails with respect to that Service.

2. No Legal Advice

The content on the Website is provided for general information only and does not constitute legal advice, and must not be relied on as legal advice. You should obtain independent legal advice about your particular situation. aiADR is not your lawyer and does not provide legal advice or representation.

3. No Retainer or Neutral Relationship Created

Accessing the Website, requesting information, or submitting a demo or pricing request does not create any arbitrator, mediator, adjudicator, retainer, agency, or other professional relationship between you and aiADR or any of its neutrals. Such a relationship arises only upon the execution of, and in accordance with, the agreement, rules, or engagement terms applicable to the relevant Service. Nothing on the Website should be understood as aiADR acting as an advocate for, or partner of, any party.

4. Nature of AI-Assisted Services

Our Services are AI-assisted. Outputs generated through the aiADR Platform, including summaries, analyses, and draft awards, are produced from the materials submitted for the specific matter and do not draw on external sources beyond that record. Outputs are prepared to support human judgment and oversight, are not a substitute for independent legal advice, and do not guarantee any particular result. Draft awards prepared through the Settlement Award Service are prepared on a one-sided basis to assist a mediator in facilitating settlement, are not decisions or determinations of aiADR or any arbitrator, and create no legal rights or obligations. The accuracy and usefulness of any output depend on the completeness and accuracy of the materials submitted.

5. Eligibility and Jurisdiction

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract to use the Website. Our services are not offered in Quebec. The Website is intended for users accessing it from jurisdictions where our services are lawfully available. You are responsible for compliance with all laws applicable to your access and use of the Website.

6. Account Access and Security

Where you are issued credentials to access the aiADR Platform, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your access. You agree to notify us promptly of any unauthorized use of your account. We will never ask you for your password in any unsolicited communication.

7. Acceptable Use

You agree not to, and not to permit any third party to:

•    use the Website in any way that violates any applicable law or regulation, or infringes the rights of any third party;

•    attempt to gain unauthorized access to the Website, the aiADR Platform, any account, or any systems or networks connected to them;

•    introduce any virus, malware, or other harmful code, or interfere with or disrupt the integrity or performance of the Website or the aiADR Platform;

•    copy, modify, reverse engineer, decompile, or create derivative works from the Website or the aiADR Platform except to the extent permitted by law;

•    use any automated means to access, scrape, or harvest content or data from the Website without our prior written consent; or

•    submit any content that is unlawful, defamatory, or that you do not have the right to submit.

8. Submissions and Case Materials

Where you submit materials through the Website or the aiADR Platform in connection with a Service, including case materials, submissions, and related documents (“Input Data”), you represent and warrant that you have the authority and any necessary consents to submit that material. Input Data is handled in accordance with the agreement governing the relevant Service and our Privacy Policy. For any other information you submit through the Website, such as feedback or general enquiries, you grant aiADR a non-exclusive, royalty-free licence to use that information to operate and improve the Website and our services, subject to our Privacy Policy.

9. Intellectual Property

The Website and the aiADR Platform, including all software, text, graphics, and other content (other than Input Data and user submissions), and all intellectual property rights in them, are owned by aiADR, ADR Chambers, or their licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for its intended purpose. No other rights are granted, and all rights not expressly granted are reserved.

10. Third-Party Links and Services 

The Website may contain links to third-party websites or services that aiADR does not own or control. We provide these links as a convenience only, and their inclusion does not imply endorsement. We are not responsible for the content, policies, or practices of any third-party website or service, and you access them at your own risk.

11. Disclaimers

The Website is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, aiADR disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or secure, or that any content is accurate, complete, or current.

12. Limitation of Liability

To the fullest extent permitted by law, aiADR and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your access to or use of, or inability to access or use, the Website, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law. This section applies to your use of the Website only; liability in respect of a Service is governed by the agreement applicable to that Service.

13. Indemnification

You agree to indemnify and hold harmless aiADR and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your breach of these Terms or your misuse of the Website.

14. Privacy

Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, and disclose personal information. By using the Website, you acknowledge our Privacy Policy.

15. Changes to the Website and These Terms

We may modify the Website or these Terms at any time. Revised Terms will be posted on the Website with an updated “Last Updated” date. Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of laws principles. The courts of Ontario have jurisdiction over any dispute arising out of or relating to these Terms or the Website, and you consent to that jurisdiction. This governing law provision applies to these Terms and the Website; dispute resolution in respect of a Service is governed by the agreement applicable to that Service.

17. General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and aiADR regarding your use of the Website. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them without restriction.
