This Privacy Policy describes the manner in which aiADR (“we,” “us,” or “our”) collects, uses, discloses, and otherwise processes personal information through the use of the website located at www.aiADR.com (the “Website”) and all other products or services provided by us, as described on, or provided through, the Website, including aiADR’s party dispute resolution services (AI-assisted arbitration and mediation between parties), aiADR’s enterprise dispute resolution services for organizations, aiADR’s settlement award service for mediators, and other products or service offerings (collectively, the “aiADR Platform”).
Some of our services permit our customers, and the parties to a dispute, to submit information to the aiADR Platform, including case materials, submissions, evidence, and related documents (“Input Data”). Any personal information included within Input Data is processed on behalf of our customers and the parties for the purpose of providing the specific service requested, and is not used by us for any other purpose. Where a separate agreement governs the relevant service (for example, the aiADR arbitration rules and engagement terms for a party dispute, an enterprise services agreement, or the terms applicable to the settlement award service for mediators), together with our Terms of Use, that agreement governs the processing of Input Data and this Privacy Policy does not apply to it.
We collect the following personal information:
• Account and Access: If you register for or are provided access to the aiADR Platform as a customer, a party to a dispute, or a mediator, we will collect your name, business or personal contact information (comprised of your email address, telephone number, mailing address and any such information you provide), and, in cases where payment is required in order to create and administer your access, we will collect payment details, billing information and purchase history. You may be issued with login credentials in which case we will collect your username and passwiord. You must keep your credentials secure and not share them with anyone else. We will never ask you for your password in any unsolicited communication (such as letters, phone calls or email messages).
• Usage Data: We automatically collect certain information about how you use and interact with the aiADR Platform and any of our Services, including: login times and duration; features and functions accessed; search queries and results; system performance metrics; device type and operating system; IP address and general location data.
• Request a Demo or Pricing: When you request a demo or pricing, we may ask for your name, work email address, company name, and which product or service you are interested in. We use this information to contact you and otherwise facilitate your demo or provide you with a quote.
• Subscribe to our Newsletter: If you subscribe to our newsletter, we will collect certain information such as your name, company name, work email address and areas of interest. If you no longer wish to receive these communications, you may unsubscribe any time by clicking the “unsubscribe” link at the bottom of the newsletter.
• Contact Us: When you contact us with a comment, question or complaint such as through email, telephone, the contact us form online or by starting a live chat on our website, you may be asked for information that identifies you, such as your name, address and a telephone number, along with additional information we need to help us promptly answer your question or respond to your comment. We may retain this information to assist you in the future and to improve our customer service and service offerings.

We use the personal information we collect for purposes described in this Privacy Policy or as otherwise disclosed to you. We use the information we collect to communicate with you, to market, provide, maintain, protect, and improve our services, and to develop new or enhanced versions of those services, including to:
• facilitate the creation and securing of your account or access;
• identify you as a user, customer, party, or mediator in the aiADR Platform;
• administer your account, including billing and enforcement of our rights;
• provide and improve the Services, aiADR Platform, website and how we operate our business;
• understand and enhance your experience using the aiADR Platform and website;
• provide and deliver products and services, including the Services, that you request, including securing, troubleshooting, and personalizing those products;
• respond to your comments or questions and for our support team to provide service;
• send you related information, including confirmations, invoices, technical notices, updates, security alerts, and support and administrative messages;
• communicate with you about promotions, upcoming events and news about products and services offered by aiADR and our selected partners, and for other marketing purposes of aiADR;
• to comply with legal obligations; and
• protect, investigate, and deter against fraudulent, unauthorized, or illegal activity.
aiADR does not disclose, trade, rent, sell or otherwise transfer the personal information of our customers, parties, or their clients, except as set out in this Privacy Policy.
We may transfer or disclose personal information as follows:
• Service Provider Arrangements: We may transfer (or otherwise make available) personal information to third parties who provide services on our behalf. We may use service providers to process payments, provide advertising and analytics services, provide IT services, host our website and store information on our behalf. Our service providers are given the information they need to perform their designated functions, and we do not authorize them to use or disclose personal information for their own marketing or other purposes. Personal information may be maintained and processed by third-party service providers in the US, Canada and other jurisdictions. • Sale of Business: aiADR may transfer personal information as an asset in connection with a prospective or completed merger or sale (including transfers made as part of insolvency or bankruptcy proceedings) involving all or part of aiADR or as part of a corporate reorganization or other change in corporate control, in which case we will use reasonable efforts to ensure that your personal information will be treated in accordance with this Privacy Policy or as you otherwise consent.
• Legal: aiADR and our service providers and affiliates may disclose your personal information in response to a search warrant or other legally valid inquiry or order (which may include lawful access by Canadian, US or other foreign governmental authorities, courts or law enforcement agencies), to other organizations in the case of investigating a breach of an agreement or contravention of law or detecting, suppressing or preventing fraud, or as otherwise required or permitted by applicable Canadian, US or other law. Where a disclosure of our customers’ information is required by applicable law or court order, we promptly notify our customer prior to complying with such requirements (unless prohibited from doing so by applicable law). To the extent possible, we will fully co-operate with our customer’s instructions with respect to our response under applicable law.
Visiting our website: We collect the IP (Internet protocol) addresses of all visitors to our website and other related information such as page requests, browser type, operating system and average time spent on our website. We use this information to help us understand our website activity, and to monitor and improve our website.
Cookies: Our website uses a technology called “cookies”. A cookie is a tiny element of data that our website sends to a user’s browser, which may then be stored on the user’s hard drive so that we can recognize the user when they return. We use cookies to remember your preferences and to authenticate you. You may set your browser to notify you when you receive a cookie or to not accept certain cookies. However, if you decide not to accept cookies from our website, you may not be able to take advantage of all of the website features.

We may work with third-parties such as ad networks and other advertising companies (including social media platforms) that use their own tracking technologies (including cookies and pixel tags) on our website in order to provide you with tailored advertisements across the Internet. These companies may collect information about your activity on our website and third-party websites (such as web pages you visit and your interaction with our advertising and other communications) and use this information to make predictions about your preferences, develop personalized content and deliver ads that are more relevant to you on third-party websites.

The personal information we collect may be transferred to and stored in countries outside of the jurisdiction in which you reside to where we and our third-party service providers have operations, and, as such, personal information could be accessed by law enforcement agencies, courts, and other governmental authorities where required by law. Notice to Quebec residents: Our services are not offered in Quebec. However, if you are visiting our website or otherwise interacting with us from Quebec, please note that your personal information will be transferred and processed outside Quebec.
aiADR has in place measures to protect personal information from unauthorized access, use, disclosure, alteration or destruction throughout its lifecycle that include the following:

• privacy rights procedures for handling requests to access, correct, opt-out and to delete personal information;
• retention policies and schedules that govern the retention and secure deletion of personal information; and
• contractual measures requiring vendors to protect personal information that is processed on our behalf.
We understand that data security is a critical issue for our customers, and we are committed to safeguarding the personal information in our custody and under our control. We have implemented reasonable administrative, technical and physical safeguards in an effort to protect against unauthorized access, use, modification and disclosure of personal information in our custody and control.
